Terms of Service

1. Agreement
By engaging MernLabs Ltd ("MernLabs") to provide web development services, you agree to these Terms of Service. These terms form the basis of the contract between you ("Client") and MernLabs for all project work.
2. Services
MernLabs provides custom web development services including but not limited to: Next.js application development, MongoDB engineering, booking system integration, and performance auditing. The specific scope of services for each project is agreed in writing before work commences.
3. Payment
A deposit of 50% of the agreed project fee is due before work commences. The remaining balance is due upon project completion and sign-off. Invoices are payable within 14 days. Late payments accrue interest at 8% per annum above the Bank of England base rate, as permitted by the Late Payment of Commercial Debts Act 1998.
4. Intellectual property
Upon receipt of full payment, all custom code written specifically for your project transfers to you. MernLabs retains the right to display the project in our portfolio. We retain ownership of any reusable components, libraries, and tools developed during the project that are not specific to your brief.
5. Client responsibilities
You are responsible for providing accurate project requirements, timely feedback, access to required third-party accounts, and any content or assets needed for the project. Delays caused by late feedback or missing assets may affect the delivery timeline.
6. Warranty
MernLabs warrants that all work will be delivered with reasonable skill and care. We provide a 30-day bug fix warranty from the date of project handoff, covering defects in our own code. This warranty does not cover issues arising from third-party services, client modifications, or requirements changes.
7. Limitation of liability
MernLabs' total liability to you for any claim arising from these terms or from the services provided shall not exceed the total fees paid for the specific project giving rise to the claim. MernLabs is not liable for indirect, consequential, or special damages.
8. Governing law
These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
